Incorporating in the USA for foreigners: the decisions in order

A US incorporation is a state filing with a separate federal tax number attached, and the two are settled one after the other rather than together. This guide follows that order: which state to file in, which entity to form there, who holds the registered agent appointment, how the EIN is obtained when nobody involved has a Social Security number, and what the corporation owes once the certificate exists. None of those steps turns on the founder's nationality. The sections below set out what changes from one state to the next and what stays the same wherever the filing is made.

For a US company owned from abroad, the choice between business entities affects who pays taxes. Liability protection and tax treatment are separate questions. The comparison worth making is with the LLC, which is less a rival form of company than a different tax default: under the IRS classification rules, a single-member LLC is disregarded and a multi-member LLC is a partnership unless Form 8832 is filed, so the profit is reported by the members rather than by the company. S status would put that treatment inside the corporate form, but it is closed to any corporation with a nonresident alien shareholder. A foreign-owned US corporation is therefore a C corporation by operation of the rules, not by election.

Why identity checks reach past the certificate

Articles of incorporation, or a certificate of incorporation, record formation details rather than ultimate ownership: Delaware asks for the name, the registered agent, the shares and the incorporator, Virginia for less. The identity questions come from the other direction. An EIN application has to name a responsible party, a person rather than an entity, who owns or controls the business and manages its funds, and a bank opening the account has to identify each individual holding 25 percent or more of the company and one person who controls it. Where a company holds shares, those questions reach the people behind it. The ownership chain drives the file, not the number of states.

Where Delaware, Virginia and Texas actually differ

The registered agent entry is state specific. The agent is appointed to receive legal documents. Delaware, Virginia and Texas each decide separately who may hold the role; Virginia is the narrowest of the three, reaching only a resident who is an officer or director of the corporation or a member of the Virginia State Bar, or an entity authorized to transact business there, while Texas does not treat the appointment as made until the agent has consented in writing. Two things are misread here. The appointment is continuous rather than a formality at filing, and the EIN sits outside this list altogether, because it is federal and is applied for on its own.

The filings that follow the certificate

The rates beside this text are not what a new corporation meets first. A domestic corporation files a federal income tax return whether or not it has taxable income, so a company that never trades still files. State obligations follow their own logic: Texas franchise tax is a privilege tax on the entity rather than on profit, and an entity under the no-tax-due revenue threshold still files a Public Information Report or an Ownership Report. The filing owners abroad miss most often is Form 5472, attached to the return once one foreign person owns, directly or indirectly, at least 25% of the corporation; the IRS instructions set the penalty for not filing at USD 25,000.

Corporate Income Tax (CIT)

General CIT Rate:
Federal corporate income tax: 21%. State CIT generally ranges from 1% to 10% (although some states do not impose CIT) and is deductible for federal CIT purposes.
CIT Return Due Date:
April 15 for calendar-year corporations (15th day of the 4th month after the tax year-end); a 6-month filing extension to October 15 is available. State income tax returns usually follow the federal due date, with a few exceptions.
CIT Payment Due Date:
Tax must be fully paid by the original due date of the return (April 15 for calendar-year corporations); the final estimated instalment is due on the 15th day of the 12th month of the tax year.
CIT Estimated Payment Due Date:
Four equal instalments of estimated tax, due by the 15th day of the 4th, 6th, 9th and 12th months of the tax year (April 15, June 15, September 15 and December 15 for calendar-year corporations).

The state and federal calendar after incorporation

What follows the certificate is not another project but a calendar the company keeps for the long term. The state deadline and the federal one are unrelated to each other, and both arrive whether or not the business has started trading. Tax obligations and green card or visa questions need separate checks. The first thing to do after incorporation is small: put those two dates, and the date the registered agent appointment comes up for renewal, wherever the company actually keeps time. The next step is to open a US business bank account, the step that turns a certificate into a working company, and the one most exposed to anything left unresolved in the documents above.
